The agreement between Reskoo and your club: what the service is, what it costs, and what each of us is responsible for.

1The contract

These Terms form the contract between BN3 Consulting Limited (company number 12848799), trading as "Reskoo", and the club whose Owner accepted them on sign-up ("you", "the club"). They govern your use of the Reskoo membership-management service ("the service").

2The service

Reskoo is a software-as-a-service membership-management product for UK lifesaving clubs. It includes member records, attendance, payments and a ledger, awards, equipment, communications, and safeguarding tooling. Specific features evolve over time; we won't remove a feature you materially rely on without giving you notice.

3Subscription and fees

Pricing is published at reskoo.app/pricing and is banded by your number of active members. Clubs with up to 10 active members use Reskoo free, with no time limit and no payment method required. Above 10 active members, a monthly subscription applies, and the band is recalculated each cycle from your highest active-member count during that cycle.

Paid subscriptions are billed monthly in advance and renew automatically until cancelled. Prices include UK VAT at 20% (VAT number 509888536); a VAT receipt is available on request.

4Cancelling

You can cancel your subscription at any time from your account - go to Settings → Billing and select Manage subscription. Your subscription then runs to the end of the month you have already paid for and does not renew. We do not refund the current month, and we do not charge pro-rata for a partial month. If you have any trouble, contact us at hello@reskoo.app.

Cancelling stops billing; it does not delete your data. See section 11 (Termination) for what happens to your data afterwards.

5If a payment fails

A failed subscription payment does not immediately stop your club running its sessions. We retry the payment, send escalating reminders, and give a 7-day grace period of full functionality. After that, back-office features degrade first while attendance recording stays available for a further week; an account left unpaid beyond that becomes read-only until payment. We will not delete your data, and full functionality is restored the moment payment succeeds.

6Your responsibilities

  • Your own privacy notice. You are the controller for your members' data, so you must give your members your own privacy notice. Our Privacy Policy covers Reskoo's processing, not your club's.
  • Account security. Keep Owner credentials safe. Multi-factor authentication is mandatory for staff, and you are responsible for actions taken by your authorised users.
  • Member payments run through your Stripe account. Payments from members to your club go through your own Stripe Connect (Standard) account. You are the merchant of record and subject to Stripe's terms. Reskoo never holds those funds and takes no cut of them.
  • Lawful use. Don't use Reskoo to store data you aren't lawfully entitled to hold, or to harm others. We may suspend accounts used to harm children or to break the law.
  • Honest classification and one account per club. Your subscription band is set by your number of active members, so you must classify your members honestly and keep an accurate record of who is active. You must not misclassify active members, or split a single club across more than one Reskoo account, in order to reduce your fees. Doing so is a breach of these Terms and may result in suspension and back-billing of the fees that were avoided.

7Acceptable use

You agree not to use Reskoo to:

  • break the law, or store or share unlawful content;
  • harm, endanger, or exploit a child, or misuse the safeguarding features (we treat this with zero tolerance);
  • store personal data you are not lawfully entitled to hold;
  • access, probe, or interfere with another club's data, or attempt to breach the security or the tenant isolation of the service;
  • send spam, or harass, abuse, threaten, or defame anyone through the communications features;
  • upload malware, scrape the service, or place an unreasonable load on it, including automated or bulk requests we have not authorised;
  • impersonate anyone, commit fraud (including payment fraud), or misuse another person's account;
  • resell, sublicense, reverse-engineer, or copy the service, or get around its usage limits or billing.

If we reasonably believe you have seriously breached these rules, in particular anything that endangers a child or is unlawful, we may suspend or terminate your account immediately and without notice. Where it is safe and lawful to do so, we will tell you why.

8Data and privacy

Our Privacy Policy describes how Reskoo handles personal data and the controller / processor split with clubs. It is incorporated into these Terms, and our data-processing terms apply to the member data we process on your behalf.

When your club creates a Reskoo account, our Data Processing Agreement (published at reskoo.app/dpa) forms part of these Terms. It sets out, in plain English, how Reskoo processes the member data your club is responsible for, the sub-processors we rely on, and the security measures we apply, as required by Article 28 of the UK GDPR.

9Service availability

We aim for high availability but do not promise uninterrupted service. We may carry out maintenance and will notify you of major windows. We are not liable for outages caused by the infrastructure providers we depend on, such as AWS and Stripe.

10Our liability

To the extent the law permits, Reskoo's total liability to you is limited to the greater of (a) the subscription fees you paid in the 12 months before the event giving rise to the claim, or (b) twelve times our lowest published monthly subscription price.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

11Termination

Either of us may end the subscription. When it ends, you keep access for a 90-day wind-down period so you can export your data. After that, we delete your data, except where we are required by law to keep it (see the retention section of the Privacy Policy). We may suspend or end an account being used unlawfully or to harm others.

12Changes to these Terms

We may update these Terms from time to time. Substantive changes update the version above, and we email club owners about them; continuing to use Reskoo after a change means you accept the updated Terms.

13Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
